Website Portal Access and Use Agreement
This B2B Website Portal Access and Use Agreement (“Agreement”) is entered into by and between Grand General Accessories LLC, a California corporation, with its principal place of business at 1965 E. Vista Bella Way, Rancho Dominguez, CA 90220 (“Distributor”), and the dealer customer entity agreeing to these terms and accessing the portal (“Dealer”).
By accessing or using the Distributor’s B2B Dealer Website Portal (the “Portal”), Dealer agrees to be bound by this Agreement.
- DEFINITIONS
- Administrator: An individual designated by Dealer with full legal authority to bind Dealer, who has full access to all Portal functions, and is responsible for managing Dealer’s users, including but not limited to Senior Buyers and Junior Buyers.
- Senior Buyer: A Dealer user with authority to submit binding purchase orders via the Portal.
- Junior Buyer: A Dealer user permitted to browse, view pricing and availability, and create shopping lists, but not authorized to place purchase orders.
- USER MANAGEMENT & LEGAL LIABILITY
- Dealer, through its Administrator, is solely responsible for authorizing, managing, updating, and revoking Portal user access for all individuals under its organization.
- The Administrator must promptly remove or deactivate access rights for any individual who changes roles, is terminated, or is otherwise no longer authorized to access the Portal.
- Dealer assumes full legal responsibility and liability for all actions taken by its users, including any misuse of the Portal by former employees or unauthorized users.
- Distributor shall not be liable for any unauthorized access or use of the Portal resulting from Dealer’s failure to manage its users.
- CONFIDENTIALITY
- Dealer acknowledges that the Portal contains non-public, proprietary, and confidential information, including but not limited to product pricing, inventory levels, business logic, customer-specific terms, and ordering patterns (“Confidential Information”).
- Dealer agrees to maintain the confidentiality of all such information and restrict access to users authorized under this Agreement.
- Dealer shall not disclose, distribute, or allow any third party to access Confidential Information without Distributor’s prior written consent.
- ORDER PLACEMENT AND AUTHORITY
- Only Administrators and Senior Buyers are authorized to place binding purchase orders via the Portal.
- Junior Buyers may create shopping lists, but these shall not constitute purchase orders unless submitted and confirmed by a Senior Buyer or Administrator.
- All purchase orders placed via the Portal are binding on Dealer.
- MONITORING AND LOGGING
Dealer acknowledges and consents that Distributor may monitor and log user activities within the Portal for security, operational, and audit purposes.
- TERM AND TERMINATION
- This Agreement remains in effect until terminated by either party.
- Distributor may, at its sole discretion and without cause or prior notice, suspend or terminate Dealer’s or any user’s access to the Portal.
- Upon termination, Dealer shall immediately cease all access and use of the Portal and destroy or return all Confidential Information upon Distributor’s request.
- OWNERSHIP AND PLATFORM
- Dealer acknowledges that the Portal is hosted on the 3rd party platform and that access may be subject to the 3rd party’s technical constraints and service terms.
- All intellectual property and content within the Portal remain the exclusive property of Distributor.
- COMPLIANCE WITH LAWS
Dealer agrees to use the Portal in compliance with all applicable laws, including but not limited to data privacy, export control, and intellectual property regulations.
- DISCLAIMER OF WARRANTY
The Portal is provided “as is” and “as available,” without warranty of any kind, express or implied. Distributor disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.
- LIMITATION OF LIABILITY
In no event shall Distributor be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with the Portal or this Agreement.
- GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by the laws of the State of California, without regard to conflict of law principles. All disputes arising out of this Agreement shall be subject to the exclusive jurisdiction of the courts located in [Your County], California.
- ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties concerning Portal access and use and supersedes all prior discussions, proposals, or agreements.

Subject to these terms, we grant you a limited, non-exclusive, non-transferable license to access and use the API solely to interact with the Portal for approved internal business uses.
- RESTRICTIONS
You shall not:
- Use the API for data scraping, resale, or unauthorized integrations.
- Exceed usage limits or make excessive or disruptive calls to the API.
- Use the API to replicate or compete with the Portal.
- SECURITY
You must use secure methods (e.g., API keys, encryption) to authenticate with the API and are responsible for any activity under your API credentials.
- MONITORING AND REVOCATION
We reserve the right to monitor API usage and suspend or revoke access at our discretion, without notice, in the event of abuse or violation of these terms.
